ETSY WHOLESALE TERMS OF USE

	Etsy Wholesale is a business-to-business platform that connects artists and designers with retail businesses. By using Etsy Wholesale, you agree to comply with and be bound by these Terms of Use. This is a binding agreement between you and Etsy, Inc. and its subsidiaries (collectively, “Etsy”).

1. QUALIFYING FOR ETSY WHOLESALE

	Prospective sellers and buyers must apply and be approved by Etsy in order to gain access to the Etsy Wholesale marketplace.  

	Buyers on Etsy Wholesale (“Buyers”) must represent retail businesses and may only make purchases on Etsy Wholesale to resell the purchased items. Buyers must be able to provide a valid Resale Tax ID, VAT, BN, or ABN number for your business. 

	Sellers on Etsy Wholesale (“Sellers”) are approved based on criteria such as brand identity, variety in product offerings, pricing, product photography, and the ability to scale their businesses in line with Etsy’s values.  

	Etsy reserves the right to approve or reject any application to join Etsy Wholesale and to refuse service to anyone, for any reason, at any time. 

2. TRANSACTIONS

	Placing Etsy Wholesale orders outside the purchase order system is considered fee avoidance and may result in the suspension or termination of your account and subject you to other collection mechanisms. All orders on Etsy Wholesale must be placed through the Etsy Wholesale purchase order system, unless you have entered into a written contractual agreement with Etsy to make Etsy Wholesale sales or purchases off the website. Please contact wholesalepartnerships@etsy.com for information about off-site wholesale orders. 

3. BUYER POLICIES

	Buyers agree with the following terms: 

	 You guarantee that you represent a retail business and have the authority to enter into agreements on behalf of that business.
 	 When issued an invoice for an order, you agree to make payment in accordance with the seller’s policies. Non-payment or late payment may result in the suspension or termination of your account and subject you to other collection mechanisms.
 	 You agree to allow sellers and Etsy to contact you via phone, email, or Etsy’s Conversations tool (“convo”) regarding orders you place. Not responding to inquiries from Etsy within seven (7) calendar days may result in the suspension or termination of your account.

4. SELLER POLICIES

	 Sellers agree with the following terms: 

	 FEES: Starting August 5, 2014, seller membership will require a non-refundable $100 joining fee (“Joining Fee”), which is added to your Etsy bill upon your acceptance to Etsy Wholesale. All sales made on Etsy Wholesale on or after August 5, 2014 will incur a 3.5% transaction fee (excluding taxes and shipping costs) paid to Etsy (“Transaction Fee”). Joining Fee and Transaction Fees will be added to your Etsy Bill.
 	 Sales made under a separate contractual agreement with Etsy for off-site orders may incur a different transaction fee based on the terms of your agreement.
 	 You agree to accurately and faithfully update the status of orders through the Etsy Wholesale purchase order system (for example, as “Approved,” “Shipped,” or “Paid”). Failure to do so is considered fee avoidance and may result in the suspension or termination of your account and subject you to other collection mechanisms.
 	 You agree not to use Etsy’s features or tools to direct transactions off Etsy Wholesale, or to circumvent or manipulate our fee structure, the billing process, or fees owed to Etsy in any way. 
 	 All purchase orders initiated through Etsy Wholesale must remain on Etsy Wholesale.
 	 You agree to allow buyers and Etsy to contact you via phone, email, or Etsy’s Conversations tool (“convo”) regarding orders you receive. Not responding to inquiries from Etsy within seven (7) calendar days may result in the suspension or termination of your account.
 	 You agree only to sell items on Etsy Wholesale that comply with Etsy’s Seller Guidelines for the handmade category (vintage goods and craft supplies may not be sold on Etsy Wholesale) and Etsy’s Copyright and Intellectual Rights Policy. 
 	 You are solely responsible for collecting and remitting any and all taxes applicable to any sales you make on Etsy Wholesale and for requesting and inspecting any documents required for taxes or tax exemptions from Buyers.

5. INTEGRATION WITH ETSY.COM

	While the Etsy Wholesale website is generally integrated with the Etsy website (https://www.etsy.com), some sections are maintained separately to limit the information posted on the Etsy website. Items listed for sale and wholesale prices posted on Etsy Wholesale will not appear to users of the Etsy website who are not users of Etsy Wholesale. 

6. RELATED POLICIES

	Orders paid through Etsy’s Direct Checkout payment platform are subject to the Direct Checkout Terms of Use. 

	By using Etsy Wholesale in any manner, including but not limited to visiting or browsing the website, you also agree to be bound by Etsy’s Terms of Use and the terms of Etsy’s Privacy Policy. 

	Etsy reserves the right to modify the Etsy Wholesale Terms of Use, so please review these terms periodically.
